Terms of Service

1. Acceptance of terms

By accessing or using Remindly (available at https://remindly.xyz) and its associated services (collectively the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

These Terms constitute a legally binding agreement between you (or the organisation you represent) and Remindly. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of service

Remindly is a cloud-based clinic management platform that enables healthcare clinics and medical teams to manage appointments, patients, staff scheduling, and internal communication — including automatic SMS reminders, patient records, team messaging, and multi-unit calendar management.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at contact@filipmanole.com if you suspect unauthorised access to your account.
  • You must be at least 18 years old to use the Service.

4. Subscriptions and payment

The Service is offered on a subscription basis billed monthly per unit — a physical space in your clinic such as a treatment chair, consultation room, or exam table. Subscription tiers and prices are described on our Pricing page.

  • New workspaces receive 1 month free after creating a subscription. A valid payment method is required at sign-up.
  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • Payment is due at the start of each billing period after the free trial ends.
  • Prices are shown in EUR and are exclusive of any applicable taxes, which are your responsibility.
  • We reserve the right to change our pricing with at least 30 days' notice.
  • Failure to pay may result in suspension or termination of your account after a 7-day grace period following a failed payment.

5. Acceptable use

You agree not to use the Service to:

  • Send unsolicited or spam messages to recipients who have not consented.
  • Violate any applicable law or regulation, including data protection laws.
  • Transmit any harmful, offensive, or unlawful content.
  • Interfere with or disrupt the Service or its infrastructure.
  • Attempt to gain unauthorised access to any part of the Service.
  • Reverse-engineer, decompile, or copy any part of the Service.
  • Resell or sublicense the Service without our written consent.

6. Your content

You retain ownership of all content you submit to the Service (patient records, appointment data, reminder text, etc.). By uploading content, you grant Remindly a limited, non-exclusive licence to process and transmit that content solely to deliver the Service to you.

You are solely responsible for ensuring that any personal data you process through the Service (such as patient contact details) is done so in compliance with applicable data protection laws including the GDPR.

7. Intellectual property

All rights, title, and interest in the Service — including its software, design, trademarks, and documentation — remain the exclusive property of Remindly. These Terms do not grant you any intellectual property rights in the Service beyond the limited right to use it as described herein.

8. Service availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled or emergency maintenance that temporarily limits access. We will endeavour to provide advance notice of planned downtime.

9. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.

To the maximum extent permitted by law, Remindly's total liability to you for any claim arising out of these Terms or your use of the Service shall not exceed the amount paid by you in the 3 months preceding the claim.

Remindly shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

You may cancel your subscription and delete your account at any time from the account settings page. We may suspend or terminate your access to the Service without notice if you violate these Terms or engage in conduct harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. See our Refund Policy for information on any applicable refunds.

11. Governing law

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Romania.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
